1. Introduction  
For over 75 years, Heat and Control has been guided by our core values of leadership, integrity, and performance. These principles define how we do business, build trust with our customers, and foster respect within our workplaces and communities.

This Code of Ethics establishes the standards of behavior expected of all employees and representatives of Heat and Control1. It reflects our commitment to conducting business in the right way, in compliance with all applicable laws and regulations, and consistent with international frameworks and standards. We expect our Suppliers to share our commitment to this Code of Ethics and uphold this through their adherence to our Supplier Code of Conduct2.

2. Commitments 

2.1 Leadership  
At Heat and Control, we are committed to leading by example, modeling fairness, professionalism, and respect in our decisions. We foster a culture where employees, suppliers, contractors, and community members feel safe, valued, and empowered to speak up, ask questions, and raise concerns without fear of retaliation.

2.2 Integrity 
We prohibit all forms of bribery, corruption, and improper advantage and compete fairly, earning trust in the marketplace through our commitment to quality, innovation, and service.

We avoid conflicts of interest that could compromise our judgment and act transparently when potential conflicts arise. All employees are required to promptly report any known or potential conflicts of interest through designated reporting channels. These disclosures will be proactively reviewed on a regular basis, and a conscious decision will be made on whether corrective action is necessary.

We protect intellectual property, designs, trade secrets, and data entrusted to us by customers, suppliers, and colleagues3.

Additionally, employees and representatives are strictly prohibited from giving or accepting gifts, favors, services, loans, payments, or special treatment of any kind from suppliers or potential suppliers. This ensures impartiality and prevents any undue influence on business decisions.

We are committed to preventing money laundering and the financing of terrorism. All employees and representatives must comply with applicable anti-money laundering laws and regulations in every jurisdiction where we operate. We prohibit any activity that seeks to conceal the origins of illegally obtained funds or facilitate the movement of illicit funds through our business operations.

2.3 Performance  
We deliver safe, high-quality, and innovative products that meet or exceed customer expectations. We maintain safe, healthy workplaces through our Health and Safety Policy4, treat every individual with dignity and respect in line with our Human Rights Policy5, and manage natural resources responsibly in keeping with our Environmental Policy6.

3. Implementation and Accountability 
The Executive Committee oversees this Code of Ethics and formally reviews progress. The Compliance Team manages day-to-day implementation of the policy and reports progress to the Executive Committee.

Ethical behavior is a shared responsibility. We encourage all employees to speak up and report concerns related to ethical, legal, or policy violations through our dedicated reporting channels:

We strictly prohibit retaliation against any individuals who raise concerns in good faith via the appropriate escalation channels and resources. Reports of misconduct are investigated with discretion in a timely and appropriate manner.

4. Approval
This Code of Ethics Policy was approved by the Executive Committee of Heat and Control, Inc.
 




1 Each employee is expected to review, understand, and uphold the Code of Ethics as a condition of employment. Violations of this policy may result in disciplinary action, up to and including termination of employment, contract cancellation, or legal action as appropriate.
