Heat and Control - Supplier Code of Conduct

1. Introduction  
Heat and Control is committed to conducting business ethically and responsibly, guided by our values of leadership, integrity, and performance. Our suppliers, subcontractors, and service providers ("Suppliers") play key roles in delivering innovative, high-quality products to customers worldwide. We view our Suppliers as strategic partners essential to our vision of operating as one Heat and Control. Beyond compliance, we value our Suppliers who drive innovation and collaborate with us to ensure our global projects are delivered on-time and on-budget.

This Supplier Code of Conduct applies to all our contracted Suppliers and is based on internationally recognized standards including the Responsible Business Alliance Code of Conduct v8.0, the UN Guiding Principles on Business and Human Rights, and International Labor Organization Core Conventions.

2. Supplier Expectations 

2.1 Compliance  
Suppliers must comply with all applicable laws, regulations, and standards. Beyond legal minimums, we expect our Suppliers to maintain documentation demonstrating compliance with this Supplier Code of Conduct and providing access for assessments when requested. 

2.2 Labor and Human Rights
Protecting human rights is essential to responsible business and the well-being of people across our supply chain. Suppliers are expected to uphold the dignity, rights, and well-being of workers, and maintain that work is performed voluntarily and in workplaces that are safe, respectful, fair, and free from harassment, discrimination, or abuse.

2.3 Operational Transparency and Performance Accountability
At Heat and Control, we view transparency as a cornerstone of our strategic partnerships. Suppliers are expected to maintain proactive, honest, and timely communication regarding their operational performance and any potential disruptions that may impact Heat and Control. Therefore, Suppliers must:

  • Provide Immediate Notification: Notify Heat and Control representatives immediately upon identifying any circumstance - including sub-tier supplier issues - that may impact delivery schedules, quality standards, or contract fulfillment.
  • Enable Collaborative Mitigation: Engage in transparent dialogue to facilitate joint problem-solving and risk mitigation, rather than providing notification only when a delay or failure is imminent.
  • Ensure Data Accuracy: Maintain and provide accurate lead-time and performance data to support Heat and Control’s efforts in predictive planning and project execution.

2.4 Health and Safety
We believe that every injury is preventable and every worker, contractor, and visitor at our suppliers' facilities has the right to return home safely every day. Suppliers are expected to establish and maintain safe and healthy work environments that take responsible measures to prevent injury and support employee well-being. This includes identifying and managing hazards, implementing emergency-preparedness procedures and training, and minimizing exposure to chemical, physical, and ergonomic risks, and implementing appropriate health and safety protocols, signage, and remediation procedures. 

2.5 Environment and Sustainability
Environmental stewardship is critical to the resilience of our shared value chain.

Suppliers are expected to implement strategies to limit greenhouse gas emissions, waste, and water use in their direct operations and are encouraged to adopt measures to reduce these impacts associated with the products and services they provide. By incorporating product design solutions to enable energy, water, and waste recovery, our suppliers play a key role in our efforts to deliver efficient solutions to our solutions, reducing the impact of the use of our products sold and our operations.

Sustainability Roadmaps
Suppliers are encouraged to share their own sustainability roadmaps and participate in Heat and Control’s broader energy initiatives, such as the procurement of (RECs) Renewable Energy Certificates. 

2.6 Ethics, Business Integrity, and Digital Stewardship
Ethical business conduct reflects our mission, values, and efforts to build trust and sustain strategic value chain partnerships.

Anti-Corruption: Heat and Control maintains a zero-tolerance policy for corruption, fraud, collusion, money laundering or terrorist financing.

Gifts and Impartiality: Suppliers must not offer or accept gifts or special treatment that could influence business decisions. Responsible AI and Data Integrity: As Heat and Control digitizes its procurement processes, Suppliers are expected to maintain the integrity of data shared through our systems and ensure the responsible use of AI tools when interacting with Heat and Control intellectual property.

Suppliers are also expected to source materials responsibly and to provide workers with confidential, non-retaliatory avenues to raise concerns or report misconduct.

3. Governance and Review 
The Executive Committee oversees this Supplier Code of Conduct and formally reviews progress. The Compliance Team manages day-to-day implementation of the policy and reports progress to the Executive Committee.

Concerns may be reported to ComplianceTeam@heatandcontrol.com. All reports are addressed with fairness and integrity, investigated appropriately, and safeguarded from any retaliatory action.

4. Approval
This Supplier Code of Conduct was approved by the Executive Committee of Heat and Control, Inc.
 




This policy reflects the current principles of Heat and Control. It does not create contractual rights or modify existing agreements
